1. Acceptance of Terms

By accessing or using IndexPilot’s website, app, or any related services (collectively, the “Service”), you (“User”, “you”, or “your”) agree to be bound by these Terms of Service and our Privacy Policy.
If you do not agree, do not use the Service.

2. Description of Service

IndexPilot is an AI-powered SEO automation platform that generates, optimizes, and indexes written content on behalf of users. Our system includes automated tools for keyword research, article creation, internal linking, and real-time search engine submission.

Users are solely responsible for how generated or indexed content is used, edited, or published on their own websites or platforms.

3. Eligibility

You must be at least 18 years old and capable of entering into legally binding agreements to use IndexPilot. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration and Security

You are responsible for:

• Maintaining the confidentiality of your account credentials.

• All activity that occurs under your account.

• Ensuring any data or websites connected to IndexPilot (e.g., via Google Search Console or CMS integrations) are owned or managed by you.

IndexPilot is not liable for any loss or damage from unauthorized access to your account.

5. AI-Generated Content Disclaimer

IndexPilot uses artificial intelligence (“AI”) to generate content. While we strive for accuracy and originality, AI-generated content may contain errors, inaccuracies, outdated information, or unintended similarities to third-party content.

By using the Service, you acknowledge and agree that:

• You are fully responsible for reviewing, editing, and approving all AI-generated content before publishing.

• IndexPilot makes no guarantees regarding factual accuracy, originality, SEO performance, or compliance with search engine policies.

• You assume all responsibility and legal liability for how AI-generated content is used or displayed.

• IndexPilot is not liable for any damages, penalties, or losses arising from the use, publication, or indexing of such content.

6. Indexing and Search Engine Submission

IndexPilot provides tools to automate website submissions to search engines via APIs (such as Google Search Console and IndexNow).
By enabling indexing features, you authorize IndexPilot to act on your behalf for submission purposes.

You acknowledge and agree that:

• IndexPilot does not guarantee that search engines will crawl, index, or rank your content.

• Search engine behavior is outside our control.

• You are solely responsible for your website’s SEO compliance and performance outcomes.

7. User Responsibilities

You agree not to use the Service for:

• Generating or distributing content that violates any law or infringes on intellectual property rights.

• Creating or promoting defamatory, harmful, or misleading content.

• Attempting to bypass IndexPilot’s systems or abuse integrations.

• Uploading or linking malicious code or spam-related material.

You retain ownership of all content you create or publish using IndexPilot but grant us a limited license to host, process, and analyze that content solely to operate and improve the Service.

8. Intellectual Property

All intellectual property rights in IndexPilot, including the platform, UI/UX, APIs, code, models, AI training prompts, and proprietary algorithms, remain the exclusive property of IndexPilot, Inc.

Users retain ownership of their generated or uploaded content but are responsible for ensuring that such content complies with applicable laws and does not infringe upon third-party rights.

8.1 AI-Generated Content Ownership & License

1. User Ownership of Output
   Any content generated by IndexPilot’s AI tools (“AI-Generated Content”) is owned by you, the user, once it is produced. You are free to use, modify, publish, or delete such content as you see fit.

2. Responsibility for AI-Generated Content
   You acknowledge and agree that:

   • All AI-Generated Content is produced automatically using statistical language models and may include factual inaccuracies, outdated information, or unintended similarities to third-party material.

   • You are solely responsible for reviewing, verifying, editing, and approving all AI-Generated Content before publishing.

   • You assume full legal responsibility for any claims, damages, or disputes arising from the publication, use, or distribution of AI-Generated Content, including (but not limited to) claims of infringement, defamation, or regulatory violations.

   • IndexPilot does not guarantee that AI-Generated Content is unique, accurate, compliant with third-party terms (such as Google Search policies), or free from infringement.

3. License to IndexPilot
   By using the Service, you grant IndexPilot a non-exclusive, worldwide, royalty-free license to:

   • Store, process, and transmit your generated and uploaded content for the sole purpose of operating, improving, and supporting the Service.

   • Use anonymized and aggregated data derived from your use of the platform (including AI-generated text) to train or improve IndexPilot’s algorithms and features.
     This license does not grant IndexPilot any ownership or publication rights over your original website content.

4. No Liability for SEO, Legal, or Reputational Outcomes
   IndexPilot does not guarantee that AI-Generated Content will comply with applicable SEO best practices, local laws, advertising standards, or copyright laws.
   You release and hold harmless IndexPilot, its officers, and affiliates from any and all liability related to:

   • Search engine penalties or deindexing,

   • Copyright or trademark disputes,

   • Misleading, false, or harmful AI output,

   • Damage to brand reputation or loss of revenue,

   • Any claims from third parties related to the use or publication of AI-Generated Content.

5. Prohibited Use of AI-Generated Content
   You agree not to use AI-Generated Content for unlawful, deceptive, or harmful purposes, including but not limited to:

   • Spreading misinformation or defamatory material,

   • Violating intellectual property rights,

   • Generating spam or deceptive SEO tactics,

   • Creating or distributing content in violation of applicable privacy or data protection laws.

9. Third-Party Integrations

IndexPilot integrates with third-party platforms such as Google Search Console, WordPress, Shopify, and Framer.
You acknowledge that:

• These integrations are provided “as-is” and may change or break at any time.

• IndexPilot is not liable for any errors, delays, or data loss resulting from third-party APIs or service interruptions.

• Your use of third-party platforms is governed by their own terms and privacy policies.

10. Payments and Subscription Terms

IndexPilot operates on a subscription basis.
By subscribing:

• You agree to pay the applicable fees displayed at checkout.

• Payments are processed securely through Stripe.

• Subscriptions automatically renew unless canceled prior to the renewal date.

• Fees are non-refundable except where required by law.

If you are on a trial plan, the trial will automatically convert to a paid subscription unless canceled before the trial period ends.

11. Service Availability and Modifications

We may modify, suspend, or discontinue any part of the Service at any time without notice.
We are not responsible for any loss, data deletion, or interruption resulting from maintenance, outages, or technical issues.

12. Limitation of Liability

To the fullest extent permitted by law:

• IndexPilot and its officers, employees, and affiliates are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, reputation, or business opportunities.

• Our total liability under these Terms will not exceed the amount paid by you to IndexPilot in the six (6) months preceding the claim.

You agree to indemnify and hold harmless IndexPilot from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. No Warranty

The Service is provided “as-is” and “as available.”
IndexPilot makes no warranties, express or implied, regarding:

• The accuracy, completeness, or reliability of AI-generated content.

• The availability or performance of the Service.

• The ranking or indexing outcomes in search engines.

• Compliance with search engine algorithms or SEO guidelines.

You use the Service entirely at your own risk.

14. Termination

You may cancel your account at any time through your dashboard or by contacting support.
We may suspend or terminate your account if you:

• Breach these Terms,

• Abuse the Service,

• Engage in unlawful activity, or

• Create risk or potential legal exposure for IndexPilot.

Upon termination, your access will be revoked, and your content may be deleted after 30 days.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Philadelphia, Pennsylvania, USA.

16. Changes to Terms

We may update these Terms from time to time.
When changes are made, we will revise the “Effective Date” and notify users via email or dashboard notice.
Continued use of the Service after such notice constitutes acceptance of the updated Terms.
